Terms of Service

Welcome to Infovanta. These Terms of Service ("Terms") govern your access to and use of the consulting services, website, and related materials provided by Infovanta ("we," "us," or "our"). By engaging with our services or accessing our platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use of our services immediately.

1. Service Description and Scope

1.1 Nature of Services

Infovanta provides IT consulting and digital workflow advisory services on a purely consultative basis. Our services include, but are not limited to:

  • Evaluation and analysis of existing IT infrastructure and technology systems
  • Assessment of digital workflow processes and operational efficiency
  • Preparation of technical reports, strategic recommendations, and implementation roadmaps
  • Guidance on software tool selection and technology stack optimization
  • Advisory support for digital transformation initiatives

1.2 Service Limitations

It is expressly understood that Infovanta does not engage in:

  • Software development, coding, or custom application creation
  • Hosting, server management, or infrastructure provisioning
  • Direct management or administration of client IT systems
  • Implementation of recommended solutions (advisory only)
  • Ongoing technical support or maintenance services

1.3 Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete information necessary for analysis
  • Implementing recommendations at their own discretion and risk
  • Ensuring appropriate internal resources for execution of strategic plans
  • Maintaining compliance with all applicable laws and regulations
  • Securing proper authorization for information disclosure

2. Engagement Process and Deliverables

2.1 Project Initiation

All consulting engagements begin with an initial assessment phase where we establish:

  • Scope of work and specific objectives
  • Timeline and key milestones
  • Deliverable formats and reporting structure
  • Communication protocols and points of contact
  • Confidentiality requirements and data handling procedures

2.2 Deliverable Standards

All deliverables will be provided in professional formats including written reports, strategic documentation, and analytical presentations. The specific format and structure will be agreed upon during the engagement initiation phase. Deliverables remain the intellectual property of Infovanta until full payment is received.

2.3 Modification of Services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. In the event of significant changes affecting active engagements, clients will be notified with reasonable advance notice, and appropriate accommodations will be made.

3. Payment Terms and Financial Obligations

3.1 Fee Structure

Consulting fees are established on a project-by-project basis and may be structured as:

  • Fixed-fee engagements for defined scope projects
  • Hourly rate arrangements for ongoing advisory services
  • Retainer agreements for continuous strategic support
  • Value-based pricing for strategic transformation initiatives

3.2 Payment Schedule

Unless otherwise specified in the engagement agreement:

  • Initial deposit of 50% is required to commence work
  • Remaining balance is due upon delivery of final deliverables
  • Payment is expected within 30 days of invoice date
  • Late payments may incur interest charges of 1.5% per month

3.3 Expenses and Additional Costs

Certain engagements may incur additional expenses including travel, specialized software licenses for analysis, or third-party data acquisition. All such expenses will be pre-approved by the client and documented separately from consulting fees.

4. Intellectual Property Rights

4.1 Ownership of Deliverables

Upon receipt of full payment, the client receives a perpetual, non-exclusive license to use the deliverables for their internal business purposes. The underlying methodologies, frameworks, templates, and analytical tools remain the exclusive property of Infovanta.

4.2 Pre-existing Materials

Infovanta retains all rights to pre-existing methodologies, frameworks, tools, and intellectual property developed prior to or independently of client engagements. Clients receive no rights to these materials except as specifically granted in deliverables.

4.3 Client Confidential Information

All confidential information provided by clients remains the property of the client. Infovanta will not use such information except as necessary to perform the consulting services and will maintain strict confidentiality in accordance with our privacy policy.

5. Confidentiality and Data Protection

5.1 Confidential Information

Both parties acknowledge that they may receive confidential information during the course of the engagement. Confidential information includes:

  • Business strategies, financial data, and operational metrics
  • Technical specifications, system architectures, and infrastructure details
  • Proprietary methodologies and analytical frameworks
  • Personnel information and organizational structures
  • Any information marked as confidential or reasonably understood to be confidential

5.2 Data Security Measures

Infovanta implements industry-standard security measures to protect client data including:

  • Encrypted communication channels for data transmission
  • Secure storage systems with access controls
  • Regular security audits and compliance assessments
  • Employee training on data protection and confidentiality
  • Incident response protocols for potential security breaches

5.3 Data Retention and Disposal

Client data is retained only for the duration necessary to complete the engagement and fulfill legal obligations. Upon completion or termination, data will be securely deleted or returned to the client as requested, subject to legal retention requirements.

6. Warranties and Disclaimers

6.1 Professional Standards

Infovanta warrants that all services will be performed with professional diligence and in accordance with industry standards. Our recommendations are based on information provided by the client and our professional expertise at the time of analysis.

6.2 No Guarantee of Results

CONSULTING SERVICES ARE PROVIDED ON AN "AS IS" BASIS. INFOVANTA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE RESULTS THAT MAY BE ACHIEVED THROUGH IMPLEMENTATION OF OUR RECOMMENDATIONS. CLIENT ACKNOWLEDGES THAT:

  • Technology landscapes and business environments are constantly changing
  • Implementation success depends on factors beyond our control
  • Recommendations represent professional opinions, not guarantees
  • Actual results may vary from projected outcomes

6.3 Third-Party Tools and Services

When recommending third-party software or services, Infovanta provides opinions based on current knowledge and analysis. We make no warranties regarding third-party products and are not responsible for changes to features, pricing, or availability of recommended solutions.

7. Limitation of Liability

7.1 Maximum Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, INFOVANTA'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT FOR THE SPECIFIC ENGAGEMENT GIVING RISE TO THE CLAIM.

7.2 Excluded Damages

IN NO EVENT SHALL INFOVANTA BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of procurement of substitute services
  • Business interruption or system downtime
  • Damages resulting from client's implementation of recommendations

7.3 Client Indemnification

Client agrees to indemnify and hold harmless Infovanta from any claims, damages, or expenses arising from:

  • Client's use of deliverables beyond the scope of the license granted
  • Inaccurate or incomplete information provided by client
  • Client's violation of applicable laws or regulations
  • Implementation of recommendations without proper authorization or expertise

8. Termination and Cancellation

8.1 Termination by Client

Clients may terminate an engagement at any time with written notice. In such cases:

  • Client remains responsible for payment of all work completed to date
  • Initial deposit is non-refundable
  • Any deliverables completed will be provided upon final payment
  • Confidentiality obligations continue beyond termination

8.2 Termination by Infovanta

Infovanta reserves the right to terminate an engagement if:

  • Client fails to make timely payments
  • Client provides false or misleading information
  • Client requests services outside our ethical or legal boundaries
  • Continuation would violate professional standards or regulations
  • Client engages in abusive or threatening behavior toward our team

8.3 Effects of Termination

Upon termination, all licenses to use Infovanta's methodologies and frameworks are immediately revoked (though licenses to completed deliverables remain in effect if paid for). Both parties must return or destroy confidential information belonging to the other party, except as required by law.

9. Dispute Resolution

9.1 Negotiation and Mediation

In the event of any dispute arising from these Terms or the services provided, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, the parties will engage in mediation with a mutually agreed-upon mediator before pursuing other remedies.

9.2 Arbitration

If mediation does not resolve the dispute within 60 days, the matter will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in Louisville, Kentucky, and will be conducted in English.

9.3 Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky and the United States, without regard to conflict of law principles. Any court proceedings must be brought exclusively in the state or federal courts located in Jefferson County, Kentucky.

10. General Provisions

10.1 Entire Agreement

These Terms, together with any engagement agreements and statements of work, constitute the entire agreement between the parties and supersede all prior understandings, agreements, or representations, whether written or oral.

10.2 Amendments

Infovanta reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services following changes constitutes acceptance of the modified Terms.

10.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

10.4 Waiver

Failure by either party to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by the party granting the waiver.

10.5 Assignment

Clients may not assign or transfer their rights or obligations under these Terms without our prior written consent. Infovanta may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

10.6 Force Majeure

Neither party will be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or governmental actions.

10.7 Notices

All notices required under these Terms must be in writing and delivered via email or certified mail to the addresses provided during engagement. Notices are deemed received upon email confirmation or three business days after mailing.

11. Acceptance of Terms

By engaging with Infovanta's services, submitting inquiries through our contact forms, or signing engagement agreements, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
